Delaware Depository Service Company ("DDSC"), through its Customer Portal (the “Portal”), provides You with the convenience of viewing bullion holdings and account activity in Your DDSC account(s). In agreeing to these Terms of Use, You will be granted a revocable, non-exclusive, non-assignable, and non-transferable license to access and use the Portal. You and/or Your authorized representative are the only individuals authorized to log into or use the Portal. It is Your responsibility to keep confidential Your user name, password, and other authenticating information, and to take other measures to prevent unauthorized access to Your account information (e.g., change Your password immediately if You believe that the password has or may have become known to an unauthorized third party). DDSC may suspend or revoke Your license to access and use the Portal if You violate any term herein or engage in conduct that is deemed unacceptable by DDSC in its sole discretion. The Portal is to be used for informational purposes only, and is not a proper substitute for Your consultation with an accounting, tax, or legal advisor(s).

YOU UNDERSTAND AND AGREE THAT THE SERVICES ARE PROVIDED "AS IS," WITHOUT A WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. DDSC DISCLAIMS ANY WARRANTY THAT THE INFORMATION POSTED ON THE PORTAL WILL BE TIMELY, SECURE, UNINTERRUPTED, OR ERROR-FREE, OR THAT THE PORTAL WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS. YOU ACKNOWLEDGE THAT DDSC HAS NOT PROVIDED YOU WITH ADVICE, CONTENT, OR MATERIALS THAT CREATE OR CAN BE INTERPRETED TO CREATE ANY WARRANTY. IN NO EVENT WILL DDSC BE LIABLE FOR ANY SPECIAL, INDIRECT, CONSEQUENTIAL, OR ANY OTHER DAMAGES, HOWEVER CAUSED, AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE), ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO AND USE OF THE PORTAL. 

DDSC has invested in and is the owner of the Portal, and any associated content, software, software applications, tools, computer code, information, databases, audio and video files, text, logs, and images (the “Content”). The Content includes, but is not limited to, the design, structure, selection, compilation, assembly, functionalities, look and feel, and arrangement of the Content. Any duplication, decompiling, reverse engineering, reproduction, transmission, distribution, sale, publication, circulation, dissemination, or modification of the Content, or any unauthorized use of DDSC’s logos or other trademarked material, is strictly prohibited.

DDSC automatically receives and records information on its server logs, including Your email address and the IP address from which the Portal is being accessed. DDSC may use any of this information for general purposes, including, but not limited to: (i) authenticating your identity, (ii) confirming that the technical and system functions of the Portal are operating as designed; (iii) developing new services; and (iv) audit, research and analysis of the Portal.

Your initial and continued access to and use of the DDSC customer account portal (the “Portal”) is conditioned upon your acknowledgement of, and agreement to, these Terms of Use. These Terms of Use are specific to Your access and use of the Portal, and do not modify, alter, or waive provisions of other agreements that You may have entered into with DDSC. You and DDSC agree that any dispute, claim, or controversy arising out of these Terms of Use or the Portal shall be resolved by binding arbitration under the Rules of the American Arbitration Association and determined by Delaware law without regard to conflict of law principles.
